1. Agreement to Terms

These Terms of Use ("Terms") govern access to and use of the websites, training platform, AMPS User Dashboard, cloud-based AMPS scoring software, AMPS-related reports, support services, subscriptions, content, and related tools provided by Center for Innovative Therapy Solutions, Inc. ("CITS," "we," "us," or "our") (collectively, the "Services").

By accessing or using the Services, creating an account, purchasing a subscription, accepting an invitation, or acting as an organization administrator, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

2. CITS Information

Center for Innovative Therapy Solutions, Inc. is incorporated in Idaho, United States, Company registration Number 6397300, with a principal place of business at 329 S Woodruff Ave, Idaho Falls, ID 83401. Contact: amps-director@centerforinnovativetherapysolutions.com.

3. Definitions

Account: The credentials, profile information, permissions, subscription status, and related information used to access the Services.

Content: Text, graphics, images, audio, video, software, data, scoring materials, calibration materials, reports, documentation, and other materials made available through the Services.

Services: The CITS website, training platform, AMPS User Dashboard, cloud-based AMPS scoring software, AMPS-related reports, training content, support, and related systems.

User: Any person who accesses or uses the Services, including individual clinicians, learners, organization administrators, and invited users.

Rater Data: Assessment-related data submitted through the AMPS cloud-based software as further described in the Privacy Policy and DPA.

4. Eligibility and Professional Use

The Services are intended for adult professional users, trainees, clinicians, organization administrators, and other authorized users. Users under 18 may use the public website only with appropriate adult supervision.

AMPS materials and scoring functions are professional tools. Users are responsible for ensuring that they are appropriately trained, authorized, competent, and legally permitted to use AMPS materials and to enter, score, interpret, or rely on assessment information.

5. Accounts, Credentials, and Organization Administration

Accounts are individual and may not be shared, transferred, assigned, or used by another person. Users are responsible for maintaining the confidentiality of credentials and for all activity occurring under their accounts.

Organization administrators may invite users, assign roles, manage seats, request additional seats, and administer organization-level access where those features are enabled. Administrators are responsible for ensuring that invited users are authorized to join the organization and that roster information, email addresses, role labels, and seat allocations are accurate.

CITS may suspend or disable accounts that are inactive, unauthorized, misused, not properly verified, or otherwise in breach of these Terms, the Privacy Policy, the DPA, or applicable law.

6. Training, Certification, Calibration, and Legacy Users

Access to AMPS training, certification, calibration, scoring, and reporting features may depend on course enrollment, module completion, payment status, organization seat assignment, verification of existing AMPS certification, or approval by CITS personnel.

Users must provide accurate information and documentation when asked to verify AMPS certification, eligibility, license keys, or calibration status. Legacy AMPS-certified clinicians may be asked to upload proof of AMPS certification or related CITS/CIOTS documentation during onboarding. CITS may approve, reject, suspend, or request additional information before enabling scoring or calibration features.

7. Orders, Subscriptions, Billing, and Taxes

Service descriptions, subscription plans, seat packages, and prices are made available through the website, checkout, order form, invoice, organization agreement, or written confirmation. Prices may change prospectively. Taxes, currency conversion, payment processor fees, and other charges may apply where disclosed or required.

Payment may be processed by third-party payment providers such as Stripe. By submitting payment information, you represent that you are authorized to use the payment method and authorize CITS and its payment processor to charge amounts due for the selected Services.

Annual subscriptions, introductory pricing, organization seats, renewal terms, discounts, and cancellation rules may be governed by the order confirmation, checkout terms, invoice, organization agreement, or specific written terms provided at purchase.

8. Cancellation and Refunds

Cancellation and refund rights depend on the type of Service, user location, consumer or business status, and any specific terms provided at purchase. If specific service terms conflict with this section, the specific service terms will control to the extent permitted by law.

If you are a consumer located in the United Kingdom or European Union, you may have a statutory 14-day cooling-off right. If you request immediate access to digital services, training, or software during the cooling-off period, you may lose the right to cancel once the service is fully performed or may be required to pay for services provided before cancellation, as permitted by applicable law.

10. Customer Responsibilities for Rater Data

Users and customer organizations are responsible for entering only the minimum necessary client, service-user, patient, or Rater Subject information and for complying with applicable consent, confidentiality, privacy, data protection, health-information, professional, and organizational requirements.

Where an organization, employer, or customer is the controller of Rater Data, that controller is responsible for the lawful basis for processing, the accuracy of instructions to CITS, responding to data-subject requests where applicable, and ensuring that users are authorized to submit the data.

11. Privacy, DPA, and International Transfers

Use of the Services is also governed by the CITS Privacy Policy. Where CITS processes Rater Data or other personal data on behalf of a customer, the applicable DPA governs CITS's processor obligations.

CITS is established in the United States. For transfers from the European Economic Area or United Kingdom where required, the DPA incorporates the European Commission Standard Contractual Clauses, Commission Implementing Decision (EU) 2021/914, Module Two: Controller to Processor, and the UK International Data Transfer Addendum, Version B1.0, as applicable.

12. Intellectual Property

All AMPS training materials, scoring criteria, task descriptions, item definitions, calibration materials, algorithms, software, reports, page layouts, documentation, logos, graphics, videos, and other content are owned by CITS, its affiliates, licensors, or other rights holders and are protected by United States and international intellectual property laws.

Except as expressly permitted by CITS in writing, users may not reproduce, copy, distribute, publish, modify, adapt, translate, reverse engineer, scrape, extract, build competing products from, or otherwise reuse AMPS materials, scoring logic, reports, or software.

13. Limited License

Subject to these Terms, payment of applicable fees, and any service-specific conditions, CITS grants each authorized user a limited, non-exclusive, non-transferable, revocable license to access and use the Services for permitted training, certification, calibration, scoring, reporting, professional, and administrative purposes.

This license ends when the subscription, account, organization seat, or authorization ends, or when CITS suspends or terminates access under these Terms.

14. Clinical and Professional Disclaimer

The Services support occupational therapy assessment, scoring, training, reporting, and related administrative functions. They do not replace professional judgment, clinical reasoning, client consent, supervision, legal compliance, or the requirements of a user's employer, regulator, professional body, or jurisdiction.

Users are solely responsible for the professional interpretation and use of AMPS information and for all clinical, educational, administrative, and legal decisions made in connection with their use of the Services.

15. Third-Party Services

The Services may rely on or link to third-party platforms or providers, including hosting, payment processing, email delivery, learning management, security, analytics, or support services. Third-party terms and privacy notices may apply. CITS is not responsible for third-party websites or services that are outside CITS's control.

16. Availability, Support, and Changes

CITS uses reasonable efforts to provide the Services with reasonable skill and care. We do not guarantee uninterrupted, error-free, or always-available service. Maintenance, updates, third-party outages, network failures, legal restrictions, security events, or circumstances beyond CITS's reasonable control may affect availability.

CITS may modify, update, suspend, discontinue, or replace features from time to time, provided that such changes do not materially remove purchased core functionality during an active paid term without reasonable alternative, notice, or remedy where required by applicable law or contract.

17. Termination

You may stop using the Services at any time. CITS may suspend or terminate access if you breach these Terms, fail to pay amounts due, misuse the Services, create legal or security risk, fail verification requirements, or if continued access would violate applicable law or third-party obligations.

Upon termination, your right to access the Services ends. Data return, deletion, and retention will be handled according to the Privacy Policy, DPA, customer agreement, and applicable law.

18. Disclaimers

Except as expressly stated in these Terms or required by law, the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, CITS disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and accuracy of all information.

19. Limitation of Liability

To the maximum extent permitted by law, CITS will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising from or related to the Services.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, intentional misconduct, or death or personal injury caused by negligence where such exclusions are not permitted.

20. Indemnity

To the extent permitted by law, users and customer organizations agree to indemnify and hold CITS harmless from claims, losses, damages, liabilities, and expenses arising from unlawful instructions, unauthorized data entry, misuse of the Services, breach of these Terms, infringement of third-party rights, or violation of applicable professional, privacy, health-information, or data protection obligations.

21. Changes to these Terms

CITS may update these Terms from time to time. The updated version will be identified by the Last Updated date. Continued use of the Services after updated Terms become effective means that you accept the updated Terms, subject to any additional notice, consent, or renewal requirements under applicable law.

22. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Idaho, United States, without regard to conflict-of-law principles. If you are a consumer located in the United Kingdom, European Union, or another jurisdiction with mandatory consumer protections, these Terms do not limit rights that cannot be waived under those laws, and you may have the right to bring claims in your local courts.

23. Severability, No Waiver, and Entire Agreement

If any provision of these Terms is found unlawful or unenforceable, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will remain in effect. CITS's failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, DPA where applicable, order confirmations, invoices, and service-specific terms, form the applicable agreement for use of the Services.
